Musk’s SpaceX and Tesla Explore Potential $3.5 Trillion Merger

October 21, 2026 | MacroHint

Elon Musk confirmed Tuesday that SpaceX (NASDAQ: SPCX) and Tesla (NASDAQ: TSLA) have established independent special committees to explore a potential merger, a transaction that could unite two of the world’s most valuable companies.

The announcement came during SpaceX’s third-quarter earnings call, where Musk expressed support for combining the businesses, particularly as both companies expand their artificial intelligence operations.

The potential combination would bring together approximately $3.5 trillion in market value, based on recent valuations of roughly $2 trillion for SpaceX and $1.5 trillion for Tesla.

SpaceX’s Financial Momentum

The discussions follow an extraordinary quarter for SpaceX. Revenue surged 161% year over year to approximately $14.6 billion, while the company reported $4.4 billion in net income, reversing a $1.1 billion loss a year earlier.

Artificial intelligence has become a major growth driver. SpaceX’s AI business generated approximately $7.56 billion in quarterly revenue, reflecting the company’s expansion into computing infrastructure alongside its established rocket launch and Starlink satellite operations.

SpaceX shares climbed approximately 8% in after-hours trading following the earnings announcement and merger comments, while Tesla gained roughly 1.8%.

Why a Merger Could Make Sense

A combination could integrate Tesla’s autonomous driving systems, robotics, battery technology, and AI development with SpaceX’s satellite communications, aerospace engineering, and expanding computing infrastructure.

It could also consolidate capital allocation across businesses already sharing technological ambitions.

However, significant obstacles remain. Musk, who leads both companies and holds substantial ownership stakes, acknowledged that he cannot participate in the independent committees’ negotiations because of conflicts of interest.

Reuters reported that discussions began in recent weeks and that one possible structure would involve SpaceX acquiring Tesla. No agreement has been reached, and Musk cautioned against assuming a merger is inevitable.

Any transaction would face substantial shareholder approval requirements and regulatory scrutiny. Musk specifically identified securing approval from a majority of Tesla’s outstanding shares as a major hurdle.

The Bottom Line

A SpaceX-Tesla merger could create one of the largest corporate combinations in history, linking electric vehicles, robotics, satellite networks, aerospace, and artificial intelligence under one corporate structure.

For investors, the central questions are whether the companies can demonstrate meaningful financial synergies, agree on fair valuations, and overcome the governance and regulatory challenges of a transaction of this magnitude.

For now, the committees are exploring the possibility, not announcing a deal.
